Version 1.0 — March 2026These Reseller License Terms are issued and administered by DAPRINTI Global Limited, a private limited company registered in England and Wales under company number 16351062, with its registered office at 167-169 Great Portland Street, London, England, W1W 5PF (“Daprinti”). The reseller license itself is granted by the Creator to the Reseller through the Platform.
These Reseller License Terms (“License Terms”) govern the purchase and use of reseller licenses on the Daprinti.com platform (“Platform”). They form part of, and must be read together with, Daprinti’s general Terms and Conditions.
By enabling resale licensing for a Product, the Creator agrees that reseller licenses for that Product are governed by these License Terms. By purchasing a reseller license, the Reseller agrees that the reseller license is governed by these License Terms. If the Creator or Reseller does not agree to these License Terms, the Creator must not enable resale licensing and the Reseller must not purchase or use a reseller license.
These License Terms create a framework involving three parties: Daprinti, the platform operator and payment facilitator; the Creator, the designer or author of the digital product who has enabled resale licensing; and the Reseller, the user purchasing the right to resell the product.
These License Terms are general terms that apply to reseller licenses on the Platform. The specific Product, Creator, Reseller, purchase date, License Term, Monthly Fee, and live license status for an individual reseller license are identified in the PDF Certificate and Verification Page issued for that license.
In these License Terms, the following terms have the meanings set out below.
“Creator” means the designer or author who uploaded the digital product and enabled resale licensing on the Platform.
“Reseller” means a user who has purchased a reseller license for a specific product.
“Product” means a digital 3D model file or design file (e.g. STL, SVG, PDF) listed on the Platform by a Creator.
“Reseller License” means the non-exclusive, non-transferable, time-limited right to resell the Product as granted under these License Terms.
“License Term” means the 12-month period beginning on the date of the Reseller’s initial license purchase.
“Monthly Fee” means the recurring monthly payment set by the Creator and locked in for the Reseller at time of purchase.
“Physical Output” means a tangible three-dimensional object produced by printing or manufacturing the Product.
“End Customer” means the final purchaser of a Physical Output from the Reseller.
“Verification Page” means the unique, unguessable URL generated by Daprinti for each license, showing its live status.
“PDF Certificate” means the license document issued at time of purchase, containing a QR code linking to the Verification Page.
“Platform” means the Daprinti.com website and marketplace.
A Reseller must own the Product before or at the same time as purchasing a reseller license. Ownership may be acquired in the same checkout transaction as the license purchase, meaning both the product purchase and the license purchase are completed together as a single, inseparable operation: if either part fails, the entire transaction is canceled and neither the product ownership nor the license is granted.
A Reseller may hold only one active reseller license per Product at any time. A new license may only be purchased after the existing license has expired, been canceled, or otherwise become inactive; early renewal is not currently available.
A reseller license purchase will be blocked where the Product is unpublished, banned, or otherwise unavailable on the Platform; where resale licensing has been disabled by the Creator on that Product; where the Reseller already holds an active license for the same Product; or where the Reseller does not own the Product and is not purchasing it in the same transaction.
All reseller licenses require payment. No free, trial, or promotional licenses are offered under these License Terms.
On their first-ever license purchase on the Platform, the Reseller must provide the following information. This information must be completed before the purchase can proceed. This information is collected once and cannot be updated after submission. It is used to populate the PDF Certificate and Verification Page as described in Section 7.
The following fields are required:
Name.
Email.
Country.
Business or social media link: a URL to the Reseller’s business website, online shop, or any public social media profile associated with their resale activity.
By submitting this information, the Reseller confirms that it is accurate to the best of their knowledge. Daprinti does not independently verify the information provided. However, providing false or misleading information works against the Reseller’s own interest, as the PDF Certificate and Verification Page serve as the Reseller’s proof of their right to sell.
Subject to these License Terms and payment of all Monthly Fees, the Creator (through the Platform) grants the Reseller a non-exclusive, non-transferable, worldwide license to produce and sell Physical Outputs derived from the Product to End Customers through online and offline sales channels, including online stores, marketplaces, physical stores, fairs, and direct sales.
The license applies to all versions of the Product published by the Creator during the License Term. The Reseller may download and use the latest available version while their license is active.
The Reseller may disclose that they are selling under an active Daprinti reseller license and may include the QR code from the PDF Certificate or the URL of the Verification Page when selling Physical Outputs. The Reseller is not required to identify Daprinti or the Creator in their listings, packaging, or marketing materials. The Reseller must not misrepresent themselves as the original creator or author of the Product.
The Reseller may not sublicense, transfer, assign, or otherwise grant resale rights to any third party. The license is personal to the Reseller’s Daprinti account and may not be shared.
End Customers who purchase from the Reseller receive the right to own and use the Physical Output they purchased. End Customers may not resell, redistribute, or sublicense the Product or Physical Output commercially; claim authorship or ownership of the Product; or create derivative works from the Product for resale without separate authorization from the Creator.
The license is intended for genuine commercial resale activity. The Reseller must not use the license for mass industrial-scale reproduction that is disproportionate to a legitimate resale business. Daprinti and the Creator each reserve the right to raise concerns regarding abusive volume, which may result in license review or termination.
The Reseller may not modify, adapt, or create derivative works from the Product for resale unless separately authorized in writing by the Creator; sell, share, distribute, sublicense, or otherwise provide the Product’s source files to any third party; remove or alter any attribution, watermark, or intellectual property notice associated with the Product; use the Product or Physical Outputs in connection with illegal, harmful, or infringing activities; or continue any resale activity after the license has expired, been canceled, or become inactive, including selling remaining physical stock produced under a now-inactive license. Unless separately authorized by the Creator, the Reseller must use their own marketing materials for resale activity and may not copy the Creator’s product images, renders, or listing copy from the Platform. This does not prevent the Reseller from accurately describing the Physical Outputs they sell.
The License Term is exactly 12 months from the date of the Reseller’s initial license purchase. The license does not auto-renew at the end of the 12-month term. The Reseller must purchase a new license after expiry if they wish to continue reselling.
The Monthly Fee is set by the Creator at the time of the Reseller’s purchase and is locked in for the full 12-month License Term. The fee is charged automatically each month by the Platform for up to 12 billing cycles. All fees are denominated in USD. The billing date is anchored to the original purchase date and does not shift, even if a payment retry succeeds after the original due date.
The Monthly Fee locked in at purchase is guaranteed for the full License Term. Price changes made by the Creator apply only to new license purchases. The price lock is permanently lost if the license ends before its natural expiry for any reason.
If a monthly payment is due and has not been successfully paid, the Platform may retry the payment automatically. A 48-hour grace period begins at that due time. During the grace period, the license remains active. If the payment is not resolved within 48 hours, the license is canceled and the Reseller must repurchase at the then-current price if they wish to continue.
Renewal is only available after the license has expired, been canceled, or otherwise become inactive. Early renewal is not currently supported. A renewed license is treated as a new purchase at the Creator’s then-current price.
The license will end at the conclusion of the current paid billing period if the Reseller manually cancels their subscription; if the Creator deletes their Daprinti account; if the Reseller deletes their Daprinti account, in which case charges cease immediately but the license remains valid until the end of the current paid billing period; or if the Creator can no longer receive payments through the Platform.
The license is immediately and permanently invalidated upon a chargeback or bank dispute being opened in respect of any payment for that license; or upon a refund being issued in respect of any payment for that license.
Upon license termination or expiry for any reason, the Reseller must immediately cease all resale activity. This includes the sale of any unsold physical stock produced during the license period. The right to produce new Physical Outputs also ends immediately upon license expiry or termination.
Creators may enable or disable resale licensing on their Products at any time. Disabling licensing prevents new license purchases but does not affect existing active licenses, which run to their natural expiry. Creators cannot cancel or revoke already purchased licenses through the Platform.
Upon purchase, Daprinti issues a PDF Certificate to the Reseller by email. The certificate is a point-in-time snapshot of the specific Product, Creator, Reseller, license, and party details at the date of purchase and is not re-issued during the License Term. It contains a unique QR code linking to the Verification Page.
Each license has a unique, unguessable Verification Page URL. The Verification Page is the authoritative live source of license status. It shows whether the license is Active or Inactive, and if active, the expiry date, being the end of the 12-month License Term and not the next billing date. The Verification Page identifies the specific Product, Creator, Reseller, purchase date, License Term, Monthly Fee, and current license status for that license. Billing history is not displayed on the Verification Page.
The Verification Page is accessible by anyone with the URL. Logged-out users and unrelated logged-in users see all fields except sensitive address details, specifically city, address lines, and email. The Reseller and the Creator of the licensed product see full details including address fields when logged in to their respective accounts. Tax identification numbers are never shown on the Verification Page to any party.
If a Creator’s or Reseller’s account is deleted and their personal data wiped, the wiped information will not appear on the Verification Page. The original data snapshot is preserved in the already-issued PDF Certificate only.
Daprinti does not provide a self-serve refund interface for reseller license fees. The Platform’s stated policy is that reseller license fees are non-refundable once a billing cycle has been processed.
Refunds may arise through the Platform, payment providers, or bank processes. Any refund or partial refund, whether relating to the current License Term or any prior term for the same Product, applied to any payment for the same Reseller and Product combination will immediately and permanently invalidate the currently active license for that Reseller and Product pair.
The Creator bears the financial loss in the event of a refund, chargeback, or dispute. Daprinti is not liable for such losses.
Disputes regarding product quality, license terms, or resale rights are primarily the responsibility of the Reseller and Creator to resolve directly. Daprinti may, at its sole discretion, assist in mediating such disputes but is not obliged to act as arbitrator or guarantor of any outcome.
The Creator retains full copyright and all intellectual property rights in the Product at all times. These License Terms grant the Reseller a limited contractual right to use the Product for resale purposes only; no ownership, copyright, or other intellectual property right is transferred to the Reseller.
The Reseller must not claim authorship of the Product; register any trade mark incorporating or derived from the Product; or take any action inconsistent with the Creator’s intellectual property rights.
By uploading a Product and enabling resale licensing on the Platform, the Creator warrants to Daprinti and to any Reseller that they have full authority to grant the license described in these License Terms and that the Product does not infringe any third-party rights.
Daprinti operates as the marketplace and payment facilitator. The reseller license is granted by the Creator to the Reseller. Daprinti is not a party to the license agreement between the Creator and the Reseller except insofar as it administers the Platform, processes payments, and enforces these License Terms.
Daprinti charges its standard platform commission on reseller license Monthly Fees, in addition to applicable payment and transfer fees. The current commission rate is set out in Daprinti’s general Terms and Conditions.
Daprinti makes no warranty as to the quality, fitness for purpose, accuracy, or commercial viability of any Product listed on the Platform. Daprinti is not responsible for disputes between Resellers and their End Customers.
To the maximum extent permitted by applicable law, Daprinti’s total aggregate liability to a Reseller in connection with any reseller license shall not exceed the total platform commission received by Daprinti from that Reseller’s license fees for the relevant License Term. Daprinti shall not be liable for any indirect, consequential, incidental, or special loss, including loss of profit or loss of business opportunity.
The Reseller agrees to indemnify and hold harmless Daprinti against any claim, loss, damage, liability, or expense, including reasonable legal costs, arising from the Reseller’s breach of these License Terms; any misrepresentation made by the Reseller to End Customers; or any third-party claim relating to the Reseller’s sales or marketing activity.
If the Reseller deletes their account, they are warned at the point of deletion to cancel any active licenses first. If they proceed without canceling, charges cease immediately and any active licenses remain valid until the end of the current paid billing period.
If the Creator deletes their account, all reseller subscriptions for that Creator’s products are canceled immediately. Active licenses remain valid until the end of the current paid billing period.
If the Creator can no longer receive payments through the Platform, all reseller subscriptions for that Creator’s products are canceled immediately. Active licenses remain valid until the end of the current paid billing period.
These License Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these License Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of London, England.
Daprinti encourages parties to resolve disputes directly in the first instance. If a dispute remains unresolved, Daprinti may attempt to mediate in good faith but is not obliged to act as arbitrator.
Daprinti may update these License Terms from time to time to reflect changes in the Platform, applicable law, or business practices. Updated versions will be published on the Platform at least 14 days before taking effect. Continued use of the Platform or any active license after the effective date of changes constitutes acceptance of the updated License Terms.
If any provision of these License Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These License Terms, together with Daprinti’s general Terms and Conditions, constitute the entire agreement between the parties with respect to reseller licenses and supersede all prior representations, negotiations, or agreements relating to the same subject matter.
No waiver of any provision of these License Terms shall be effective unless made in writing. Daprinti’s failure to enforce any provision on any occasion shall not constitute a waiver of that provision or of Daprinti’s right to enforce it in future.
Nothing in these License Terms creates any partnership, joint venture, agency, franchise, or employment relationship between Daprinti, the Creator, and the Reseller.
These License Terms may not be assigned or transferred by the Reseller without Daprinti’s prior written consent. Daprinti may assign its rights and obligations under these License Terms to any affiliate or successor entity.
